What every state charges for an LLC.

The number you usually see quoted is the Articles of Organization fee. It is rarely the whole bill. This table shows what each of the 51 US jurisdictions actually charges to get a limited liability company formed and cleared to operate, plus what it charges every year afterwards to keep it alive.

The four states people actually ask about

These four come up in almost every conversation. Here is the short version of each.

Florida

$125 to form · $138.75 a year

Real economy, real customers, real banks. Worth it if you will invoice US clients, hire, import or actually set foot in the state. The annual report jumps to $538.75 after 1 May, so the date matters more than the amount.

Wyoming

$100 to form · $60 a year

The cheapest credible option for a business that lives entirely online and is run from outside the United States. No state income tax. The trade-off is that you have no presence there, which some banks and platforms notice.

New Mexico

$50 to form · nothing a year

The cheapest in the country and the only one with no recurring state fee at all. It is also the one with the least name recognition outside the US, which can matter when a counterparty looks you up.

Delaware

$110 to form · $400 a year

The default answer for companies raising venture capital, and the wrong answer for almost everyone else. The franchise tax went from $300 to $400 and falls due on 1 June. You are paying for case law you will probably never use.

Why a Florida-only company publishes this

Because the honest answer to "which state should I choose?" is sometimes not Florida, and you are better off knowing that before you pay anybody. We form in Florida only. If your business is purely online and run from abroad, Wyoming is cheaper — $100 to form and $60 a year, against Florida's $125 and $138.75 — and we will tell you so. What we will not do is take your money for a state where we cannot be your registered agent or answer your phone.

Is the cheapest state the best state?

Only if cost is your single criterion. The state fee is a small part of the lifetime cost of a company. Where your customers are, where your bank will look, and where you can actually be reached usually matter more than fifty dollars a year.

Do I pay these fees to you or to the state?

To the state, through us, at cost. Ankora charges a separate professional fee and adds no markup to a government fee. The state fee appears as its own line at checkout.

Can I form in one state and operate in another?

Yes, and it usually costs more, not less. Operating in a state where you are not formed generally means registering there as a foreign LLC and paying that state too. Choosing a cheap state to avoid an expensive one often ends with both.

How current are these numbers?

The table carries the date of its last review, and we confirm the amount in force before we file anything. State fees change: Delaware moved from $300 to $400 with House Bill 400. Treat any number here as a guide, not a quote.
